These Terms govern your use of NextEraAI, a service provided by NextEra Systems, LLC ("NextEra Systems," "we," "us," or "our").

Use of Services and Acceptable Use

NextEraAI provides AI receptionist, scheduling, appointment confirmation, reminder, and customer-care tools for businesses. Customers are responsible for keeping account and business information accurate and for using the Services lawfully.

You may not use NextEraAI for illegal activity, fraud, harassment, abuse, unauthorized access, interference with the Services or their security, or any activity that violates another person’s rights. You may not use the Services to collect, process, or store information that you are not legally permitted to collect or that NextEraAI is not designed to handle, including sensitive personal information that is not necessary for normal business operations.

Accounts and Responsibilities

You are responsible for maintaining the confidentiality of account credentials and for activity under your account. You must provide information reasonably necessary to configure and operate the Services and must not use the Services to violate applicable law or another person’s rights.

Subscriptions, Trial, and Billing

Subscription pricing and billing terms are presented during signup. The Services may begin with a 7-day free trial as described at signup. Unless canceled before the trial ends, an eligible 7-day free trial will convert to a paid subscription at the price disclosed at signup, currently $200 per month, and the subscription will automatically renew monthly until canceled. You authorize NextEra Systems, LLC and its payment processor to charge the applicable subscription fee and any applicable taxes to your payment method for each renewal period.

Subscriptions are month-to-month and do not require a long-term contract. If you cancel during the 7-day free trial before the first paid billing date, you will not be charged.

Payment processing is provided through third-party payment providers. You authorize the applicable charges for the subscription you select, subject to the cancellation and refund terms below.

Cancellation and Refunds

Paid subscriptions may be canceled at any time. Cancellation prevents the subscription from renewing for the next billing period. Unless otherwise required by applicable law, payments already made are non-refundable and no prorated or partial refunds or credits are provided for unused time in a billing period. After cancellation, access to the paid service will remain available through the end of the current paid billing period.

If you cancel during the 7-day free trial before the first paid billing date, you will not be charged.

SMS Terms

By opting in to receive SMS messages from NextEra Systems, LLC, you agree to receive transactional appointment confirmations, appointment reminders, scheduling updates, and customer-care communications.

Message frequency varies. Message and data rates may apply. Reply STOP to cancel or opt out. Reply HELP for help.

SMS opt-in is optional and is not required to purchase or receive services. SMS messages are sent only to users who actively opt in. If SMS opt-in is not provided, SMS messages will not be sent.

Service Availability, Third-Party Services, and Downtime Credits

NextEra Systems, LLC will use commercially reasonable efforts to make NextEraAI available and operational. However, the Services are provided through and depend upon telecommunications networks, internet connectivity, cloud infrastructure, artificial intelligence providers, hosting providers, software platforms, carriers, payment providers, DNS providers, and other third-party systems. NextEra Systems, LLC does not guarantee that the Services will be uninterrupted, error-free, or available at all times.

Service interruptions may occur as a result of scheduled maintenance, emergency maintenance, upgrades, security measures, telecommunications or carrier failures, internet disruptions, third-party service outages, failures of systems outside NextEra Systems, LLC's reasonable control, Customer equipment or configuration, force majeure events, or other circumstances beyond NextEra Systems, LLC's reasonable control. Such events will not constitute a breach of these Terms.

If a material interruption of the core NextEraAI Services is caused directly by systems within NextEra Systems, LLC's reasonable control, NextEra Systems, LLC may, after confirming the interruption and its duration, provide the affected Customer with a service credit toward a future subscription payment. Service credits are not cash refunds and have no cash value.

Any service credit will be determined by NextEra Systems, LLC based on the duration and material impact of the verified interruption. The aggregate amount of service credits issued for interruptions occurring during a single billing period will not exceed the subscription fees actually paid by the Customer for that billing period.

Except where otherwise required by applicable law, service credits provided under this section are the Customer's sole and exclusive monetary remedy for service unavailability, downtime, interruption, or degradation.

No service credit will be available for interruptions resulting from scheduled or emergency maintenance; Customer equipment, software, connectivity, configuration, or misuse; telecommunications carriers; internet service providers; third-party platforms or providers outside NextEra Systems, LLC's reasonable control; force majeure events; or interruptions that do not materially prevent use of the core Services.

Any service credit issued under this section is a contractual service adjustment and is not a refund, damages payment, or admission of liability. Except where prohibited by applicable law, service credits are the sole and exclusive monetary remedy for qualifying service availability issues and remain subject to the limitations of liability set forth in these Terms.

Disclaimer of Warranties

To the maximum extent permitted by applicable law, NextEraAI is provided on an “as is” and “as available” basis. NextEra Systems, LLC does not warrant that the Services will be uninterrupted, error-free, completely secure, or operate perfectly, or that the Services will meet every customer requirement.

Suspension and Termination

NextEra Systems, LLC may suspend or terminate access to the Services for nonpayment, unlawful or abusive use, threats to security or system integrity, violation of these Terms, fraud, or circumstances requiring suspension or termination to protect customers, NextEra Systems, LLC, or third parties.

Except where suspension or termination is justified by these Terms or required by applicable law, NextEra Systems, LLC will not arbitrarily forfeit an already-paid subscription solely for convenience. Suspension or termination does not waive obligations or remedies that arose before the effective date.

Changes to Services and Terms

NextEra Systems, LLC may improve, modify, update, or discontinue portions of NextEraAI, including features, integrations, or supporting systems. NextEra Systems, LLC may update these Terms when reasonably necessary, including to reflect changes to the Services, law, or business practices. Material changes will be communicated as required by applicable law. Continued use of the Services after an updated effective date constitutes acceptance of the updated Terms to the extent permitted by law.

Force Majeure

NextEra Systems, LLC will not be liable for delay or failure to perform caused by events outside its reasonable control, including natural disasters, government actions, telecommunications failures, internet failures, major third-party outages, labor disruptions, war, civil unrest, public-health emergencies, or similar events. This provision works together with, and does not expand, the service-availability exclusions and credits described above.

Limitation of Liability

To the maximum extent permitted by applicable law, NextEra Systems, LLC and its affiliates, officers, employees, contractors, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, business opportunities, goodwill, data, or anticipated savings arising out of or relating to the use of, inability to use, interruption of, or reliance on the Services.

To the maximum extent permitted by applicable law, the total aggregate liability of NextEra Systems, LLC for all claims arising out of or relating to the Services or these Terms will not exceed the amount actually paid by the customer to NextEra Systems, LLC for the applicable subscription during the one-month period immediately preceding the event giving rise to the claim.

These limitations apply regardless of the legal theory on which the claim is based, including contract, tort, negligence, strict liability, or otherwise, and even if NextEra Systems, LLC has been advised of the possibility of such damages.

Nothing in these Terms excludes or limits liability to the extent that such liability cannot lawfully be excluded or limited under applicable law.

The limitations in this section apply together with, and are not increased by, any service credit, refund, or other remedy expressly provided under these Terms.

General Terms

These Terms constitute the entire agreement between you and NextEra Systems, LLC regarding the Services and supersede prior agreements on the same subject. If any provision is found unenforceable, the remaining provisions will remain in effect. A waiver is effective only if given in writing and does not waive any later breach. You may not assign these Terms without our prior written consent; NextEra Systems, LLC may assign them in connection with a merger, acquisition, reorganization, or transfer of substantially all related assets. Provisions that by their nature should survive termination, including payment obligations, limitations of liability, disclaimers, and dispute-related provisions, will survive. Headings are for convenience and do not affect interpretation.
